Terms of Service

Welcome to Tullius. These Terms of Service ("Terms") constitute a legally binding agreement between you and Tullius Ltd. (Company Reg. No. 517362588) ("Tullius", "we", "us", or "our"). By accessing or using our service, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. The Service

Tullius is an AI-powered interview system that helps you specify, design, and break down software projects through structured conversations. The service generates project artifacts including specifications, technical designs, and task breakdowns based on your input.

2. Accounts

You must sign in with a supported authentication provider to use Tullius. You are responsible for maintaining the security of your account and for all activity that occurs under it. You must be at least 18 years old to use the service.

3. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose or to violate any laws.
  • Attempt to gain unauthorized access to the service or its systems.
  • Interfere with or disrupt the service or its infrastructure.
  • Use the service to generate harmful, abusive, or misleading content.
  • Reverse-engineer, decompile, or attempt to extract the source code of the service.
  • Resell or redistribute the service without our written consent.
  • Use automated means (bots, scrapers) to access the service without prior authorization.
  • Circumvent any rate limits, usage quotas, or access controls.

4. Your Content

You retain all ownership rights to the content you provide during interview sessions, including your messages and the project artifacts generated from them.

You grant Tullius a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, and display your content solely as necessary to provide and operate the service. This license terminates when you delete your content or account, except where retention is required by law.

You are responsible for ensuring that your content does not infringe on third-party rights or violate any applicable laws.

5. AI-Generated Output

The specifications, designs, and task breakdowns generated by Tullius are created with the assistance of AI models. While we strive for quality, AI-generated output may contain errors, inaccuracies, or omissions. You are responsible for reviewing and validating all output before relying on it. Tullius does not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose.

6. Subscriptions, Billing, and Merchant of Record Partners

Certain features of Tullius may require a paid subscription. Subscription terms, pricing, and billing details are presented at the time of purchase.

Payments, billing, invoicing, order fulfillment, and tax collection are processed securely through our authorized payment processing and Merchant of Record partners. By subscribing to or purchasing paid features, you agree to provide accurate, complete, and up-to-date billing information and to comply with the terms and conditions presented by our billing partners during checkout.

Subscriptions automatically renew at the end of each billing period (e.g., monthly or annually) unless cancelled. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

Cancellation & Statutory Rights: If you are a consumer residing in Israel, you are entitled to cancel a transaction in accordance with the Israeli Consumer Protection Law, 5741-1981 (the "Consumer Protection Law"). Under the Consumer Protection Law, you may cancel a remote sales transaction within 14 days from the date of the transaction or receiving the confirmation document (whichever is later), provided that the service has not commenced or as otherwise permitted by applicable law. Senior citizens, persons with disabilities, and new immigrants may cancel within 4 months as provided by law. Except as required under applicable law (including mandatory provisions of consumer protection laws), payments are non-refundable and we do not provide refunds or credits for partial subscription periods.

7. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access if you violate these terms or if required by law. Upon termination, your right to use the service ceases, but provisions that by their nature should survive (such as ownership, liability limitations, indemnification, governing law, and dispute resolution) will remain in effect.

Upon account deletion, your project data will be permanently removed within 30 days, consistent with our Privacy Policy. You may export your data before deleting your account.

8. Indemnification

You agree to indemnify, defend, and hold harmless Tullius Ltd., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from or in any way connected with your use of the service, your content, your violation of these Terms, or your infringement of any third-party rights.

9. Disclaimer of Warranties

Tullius is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure, or that any output will meet your requirements. We make no guarantees regarding uptime or service availability.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Tullius Ltd. and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total aggregate liability for any claim related to the service shall not exceed the amounts you paid us in the 12 months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law.

11. Changes to These Terms

We may modify these Terms of Service at any time. We will notify you of material changes by posting a notice on the service or sending an email. Continued use after changes take effect constitutes acceptance of the updated terms. If you do not agree to the changes, you should stop using the service.

12. Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

13. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Tullius Ltd. regarding the use of the service and supersede any prior agreements or understandings.

14. Governing Law and Jurisdiction

These Terms and any dispute, controversy, or claim arising out of or in connection with them, their subject matter, or your use of the Service shall be governed by and construed in accordance with the laws of the State of Israel, without giving effect to any choice of law principles that would dictate the application of the laws of another jurisdiction.

The competent courts located in the district of Tel Aviv-Yafo, Israel, shall have sole and exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or in connection with these Terms or the Service.
